QUESTION
What is the Duty to Exercise Reasonable Care, Skill, and Diligence under s.174 of the Companies Act 2006, and how is it measured?
ANSWER
A director of a company must exercise reasonable care, skill and diligence. This means the care, skill and diligence that would be exercised by a reasonably diligent person with the general knowledge, skill and experience that may reasonably be expected of a person carrying out the functions carried out by the director in relation to the company (Objective Test), and the general knowledge, skill and experience that the director has (Subjective Test). Breaching this duty can expose directors to severe personal liability.
Problem. Prompt misdirects attention to a definition in the abstract for a topic that is typically trigger-based. No matter how well you know the duty, it's useless if you can't recall when to apply it. Also, the answer is hard to scan and contains many unnecessary fillers, i.e. more reading than needed when you're trying to revise quickly.
